Terms of Service

These Terms are an agreement between you and Sim Capital LLC. If you use Matchdesk on behalf of a company or brokerage, you represent that you have authority to bind that organization, and "you" includes that organization.

Matchdesk provides software tools for real estate professionals, including lead capture, CRM/workspace features, private-market matching, permit intelligence, analytics, and AI assistants.

We may modify, suspend, or discontinue features. Free plans, betas, and preview features may change or end at any time.

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account.

You must be at least 18 and able to form a binding contract. The service is intended for licensed professionals and their authorized staff, not for consumer end-users acting without professional oversight where licensing is required.

You retain rights to data you upload. You grant Sim Capital LLC a limited license to host, process, transmit, and display that data solely to provide and improve the service.

You are responsible for obtaining any consents and legal bases required to upload client/contact data, and for complying with real estate advertising, privacy, fair housing, and professional conduct rules.

You must not upload unlawful content, malware, or data you do not have rights to use.

AI-generated plans, scores, matches, summaries, and suggestions are for general informational and workflow assistance only. They are not a substitute for licensed real estate, legal, tax, lending, or investment advice.

You are solely responsible for verifying outputs before acting on them or presenting them to clients. Matchdesk does not broker transactions, guarantee results, or replace your professional judgment.

AI outputs may be incomplete or incorrect and must not be used to make or justify discriminatory housing decisions.

Sim Capital LLC and Matchdesk support equal housing opportunity. You agree to use the service in compliance with the federal Fair Housing Act and all applicable state and local fair housing laws.

You will not use Matchdesk to discriminate, steer, discourage, or target housing consumers based on race, color, religion, sex (including sexual orientation and gender identity), disability, familial status, national origin, or any other characteristic protected by applicable law.

You will not instruct the AI, search, matching, or marketing features to use protected characteristics or unlawful proxies (including demographics, crime statistics used as proxies, or school quality used to exclude or steer protected groups).

Property attributes you may lawfully consider include disclosed budget, location preferences provided by the client, property type, size, amenities, timing, and financing posture. You remain responsible for your advertising, showings, screening, and client communications.

You agree not to:

• Misuse the service, attempt unauthorized access, or disrupt infrastructure.
• Scrape, reverse engineer, or resell the service except as expressly permitted.
• Use Matchdesk to send spam or unlawful communications, or to contact people in violation of TCPA, CAN-SPAM, Do Not Call, or similar rules.
• Violate fair housing, privacy, advertising, solicitation, or other applicable laws through your use of the platform.
• Upload or process sensitive personal data for discriminatory housing purposes.

Matchdesk may integrate with third-party products (for example MLS, CRM, email, storage, or permit data providers). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services you choose to connect.

The Matchdesk name, product, software, and branding are owned by Sim Capital LLC or its licensors. These Terms do not transfer ownership of our intellectual property to you.

Feedback you provide may be used by us without obligation to you.

Each party agrees to protect the other party's non-public information with reasonable care and use it only as needed to perform under these Terms, except for information that is public, independently developed, or required to be disclosed by law.

Paid plans, if offered, will be described at purchase. Unless stated otherwise, fees are non-refundable. We may change pricing with notice for renewals or new subscriptions.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR AI OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIM CAPITAL LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100) IF YOU USE A FREE PLAN.

You will indemnify and hold harmless Sim Capital LLC and its personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your data, your use of the service, your client communications, or your violation of these Terms or applicable law, including fair housing and privacy claims arising from your conduct.

You may stop using Matchdesk at any time. We may suspend or terminate access if you violate these Terms, create risk, or for service discontinuation. Provisions that by nature should survive will survive termination.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Exclusive venue for disputes will be the state or federal courts located in California, unless applicable law requires otherwise.

We may update these Terms by posting a revised version. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the service.
